I have an extra Zeiss Conquest 3x9-40MC laying around, I am going to put it on a 22LR, will I have any problems, it is not the rim fire model.

Depends on how consistent is your cheek weld. Probably not even then. Maybe Zeiss would adjust the objective for you?

All I use the 22lr for is small game, I own many high end scopes purchased from swfa. How will Parallax affect a 22lr. I need more magnification than most 22 rimfire scopes offer. I was going to put a zeiss I have, but parallax is set at 100 yards and I do not like the fact of adjustable parallax on scopes. I have a Z5 on a 22mag and do not have any problems. I have cancer and chemo has affected my eye sight

Parallax only becomes noticeable above 6X or so. Don't move your head around....
